1. Nature of This Site

This website (“the Site”) is an informational resource operated by KeyIdentity, Inc. (“KeyIdentity”). The Site provides institutional reference material regarding the KeyIdentity Federation Protocol (KIFP), its governance framework, and its technical architecture. The Site is not a commercial marketplace, does not offer consumer services, and does not facilitate transactions.

2. Institutional Engagement Only

The engagement process accessible through this Site is reserved for sovereign institutions, financial regulators, central banks, critical infrastructure operators, and qualified institutional counterparties. Submission of an inquiry does not constitute a binding agreement, contract, offer, or commitment of any kind. KeyIdentity reserves the right to decline any inquiry without providing a reason.

3. No Warranty

The Site and its content are provided on an “as is” and “as available” basis. KeyIdentity makes no representations or warranties of any kind, express or implied, regarding the completeness, accuracy, reliability, suitability, or availability of the information, specifications, or materials presented. Technical descriptions and protocol specifications are subject to change without notice.

4. Limitation of Liability

To the maximum extent permitted by applicable law, KeyIdentity shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages arising out of or in connection with access to or use of the Site or reliance on any content published herein, including but not limited to damages for loss of profits, data, goodwill, or business opportunity, whether based on contract, tort, negligence, strict liability, or any other legal theory.

5. Acceptable Use

You agree not to:

  • Attempt to reverse engineer, decompile, or otherwise derive the source code of any software or system referenced on this Site.
  • Use automated tools, bots, or scripts to access, scrape, or index the Site beyond what is permitted by the published robots.txt directives.
  • Submit false, misleading, or fraudulent information through the engagement form.
  • Attempt to probe, test, or exploit vulnerabilities in the Site or its infrastructure without prior written authorization. Responsible security disclosures should be directed to security@keyidentitypay.com.
  • Use the Site or any content therein in any manner that violates applicable law or regulation.

6. Intellectual Property

All content on this Site — including the KIFP specification, architectural descriptions, governance frameworks, whitepaper, and all associated documentation — is the intellectual property of KeyIdentity and its affiliates. No license, express or implied, is granted by making this content available for review. Reproduction, distribution, or derivative use requires prior written consent.

7. Confidentiality

All information exchanged during the institutional engagement process — including briefing materials, technical documentation, economic models, and security architecture details — is treated as confidential by default. Neither party shall disclose such information to third parties without prior written consent. Qualified institutions proceeding beyond the initial inquiry stage will be invited to execute a formal non-disclosure agreement prior to receiving restricted materials.

8. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which KeyIdentity is incorporated. Any disputes arising from or relating to the use of this Site or the engagement process shall be resolved through confidential arbitration conducted under mutually agreed rules. Nothing in these Terms limits either party's right to seek injunctive relief in a court of competent jurisdiction.

9. Modifications

KeyIdentity may revise these Terms at any time. Changes will be reflected by updating the effective date at the top of this page. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
